REP YYY (REP) and R A Zeineh (Zeineh) agree to cooperate on Zeineh’s Near Infra Red (NIR) or any other
available technology of his briefly described in
www.stealthir.com,
www.saferplane.com,
www.stealthIR.com/fish
or attachment.
In any agreement initiated and concluded by REP and approved by Zeineh, REP’s share is
10% (ten percent) of cash or equity of what Zeineh gets.
This commission is the total sales commission included in it are all direct and indirect cost of sales declared
or none declared. This agreement is confidential and limited to the benefit of both REP and Zeineh only. This
representation is not exclusive but any client of REP, whose name, phone #, and whom Zeineh can talk to or did
talk to regarding his intention will become an exclusive client to REP when client terms are doable, reasonable,
and acceptable to Zeineh unless immediately Zeineh states the first name of another rep to whom Zeineh did already
give exclusivity. REP or his side can not take any second commission.
REP’s commission is delivered 2 weeks or
simultaneously with that of Zeineh’s share. Each party REP & Zeineh, take care of all own office, travel, and other
expense with no advance payment. Zeineh can make a live demonstration of the 19 (nineteen) IR pictures and 4 (four)
UV pictures presented in the white paper StealthIII attachment to any valid client of REP. For StealthIR for vehicle
Zeineh will make a live demonstration of 1,100 Centigrade heat source that the thermal imager does not detect when
covered by coverall stealth material. Zeineh will not reveal any trade secret to the buyer but provide enough
information for product use and applications.
For an investor or IR technology buyer, Zeineh provides trade secrets
only after receiving an advance prepayment from the investor and a letter of intent. It is preferred that the REP
personally see the IR live demonstration or the video clip. REP keeps in confidence any relevant information
communicated to him by Zeineh. Zeineh provides enough business and performance information to his best ability
(not any trade secret) to REP or to investor or provides a live demonstration as an evidence on the item or technology
available for investment, licensing, or partnership. Sensitive products or technology can be sold to USA friendly
countries only.
This agreement is valid after both REP and Zeineh agree by phone or by email, or sign it and fax
a signed copy to each other. This is the full and only agreement between REP and Zeineh on IR stealth. In case the
Rep does not sighn this agreement, Zeineh’s commitment remain valid when above terms are met. This agreement is
automatically renewable and is governed by the Laws of California.
